Causing harm to the operation, communication, or stability of the website.
Disrupting services through spam, mass messaging, pyramid schemes, or inappropriate postings.
Sending viruses, Trojan horses, malware, or engaging in denial‑of‑service attacks.
Causing disproportionate load on the website or its infrastructure.
Circumventing any security measures, access controls, or technical protections used by Emerans.

C. Unauthorized access and misuse

Attempting to gain unauthorized access to the website, its systems, accounts, or data.

E. Misuse of accounts and services

Transferring or sharing a user account with any other person.
Allowing third parties to access or use Emerans content through the user’s account.
Failing to pay for booked services or attempting to avoid payment obligations.
Using the website for commercial purposes without explicit authorization from Emerans.

F. General misuse and harmful behavior

3.3. Consequences of Violations

Immediate suspension or termination of the user’s account without refund.
Revocation of all access rights at the moment the violation occurs.

4. MONITORING, ENFORCEMENT, AND ACCOUNT TERMINATION

Emerans reserves the full and exclusive right to monitor all activity on the platform and to take any action it deems necessary to protect its services, models, users, intellectual property, and operational integrity. All enforcement actions may be taken without any obligation to issue refunds, regardless of whether the user has paid for VIP access or other services.

Emerans may, at its sole discretion and without prior notice:

Remove, restrict, or block any User Contribution, post, message, upload, or communication that violates these Terms, the content standards, intellectual property rights, privacy rights, or any applicable law, or that may harm the safety, reputation, or well‑being of models or other users.
Suspend, freeze, restrict, or permanently delete any user account involved in unlawful, harmful, abusive, fraudulent, or otherwise prohibited activity.
Terminate access immediately if a user violates these Terms, fails to comply with VIP rules, fails to make required payments, or engages in any behavior that disrupts or interferes with the proper functioning of the platform.
Take any legal action deemed appropriate in response to wrongdoing, including unauthorized use of the website, misuse of content, or violations of intellectual property or privacy laws.
Disclose a user’s identity, account information, or activity logs to law enforcement authorities, regulatory bodies, or other relevant parties when such disclosure is required by law or necessary to investigate unlawful conduct, including the posting of prohibited materials.

Any consequences resulting from actions taken by Emerans or by law enforcement authorities.

Users acknowledge that Emerans is not required to provide warnings, explanations, or opportunities to remedy violations before taking enforcement action.

The content standards apply to all users and to all forms of User Contribution, including posts, messages, uploads, downloads, comments, electronic communications, text entries, and any other material submitted or transmitted through the Emerans platform. All users must comply with these standards at all times.

User-generated content must never:

Promote, advertise, or encourage the use of alcohol, tobacco products, drugs, or any other restricted or regulated substances, nor contain any form of commercial advertising for products or services of any kind.
Contain sexual, erotic, pornographic, or adult material, including links to sexual or erotic websites, or any content that exposes or misuses the gender, identity, age, or images of models.
Infringe any copyright, trademark, trade secret, know‑how, proprietary rights, or other intellectual property rights belonging to Emerans or any third party.
Violate privacy rights, publicity rights, civil rights, criminal laws, or any other legal or human rights protections.
Include material that is unlawful, defamatory, harassing, harmful, abusive, deceptive, or otherwise inconsistent with these Terms.
Mislead, impersonate, or falsely represent any person, entity, or identity, including attempting to appear as Emerans or its representatives.
Promote, encourage, or depict illegal activities or conduct that violates any applicable law.
Cause disruption, annoyance, or harm to the platform, its users, or its models.
Create the false impression that the content is endorsed, approved, or officially posted by Emerans.
Contain commercial solicitations, promotional messages, or any form of advertising not expressly authorized by Emerans.

Any User Contribution that violates these standards may be removed immediately, and the user’s account may be suspended or terminated without refund.

6. CONTENT UPDATES AND THIRD‑PARTY LINKS

The Emerans website, its content, and its functionality are updated frequently. Users acknowledge and agree that:

The platform is provided on an “as‑is” basis, and certain content may become temporarily outdated due to ongoing updates or revisions.
The presence of outdated information does not constitute a breach of these Terms and does not create any liability for Emerans.

7. VIP ACCESS

VIP Access is a paid, digital, intangible service that grants users entry to restricted areas of the Emerans platform, including personal model pages, additional features, and the ability to request and organize meetings with models. VIP Access is delivered electronically and is activated immediately after successful payment.

VIP Access is billed according to the tariffs displayed on the VIP Members page and remains valid for the specific period indicated at the time of purchase. The nature, scope, and limitations of VIP Access are governed by these Terms and by the Payment, Service Delivery, and No‑Refund Policy described in Section 8.

7.2. Rules of Conduct for VIP Users

VIP users must comply with all rules governing the use of restricted content and interactions with models. These rules are mandatory. Any user who does not agree with them must not purchase or use VIP Access.

VIP users are strictly prohibited from:

Attempting to search for, locate, or contact models outside the Emerans platform using personal information obtained through VIP Access.
Discussing the Emerans website, its internal processes, or platform operations with models.
Publishing, sharing, distributing, or making public any content, images, information, or materials accessible exclusively through VIP Access.
Negotiating payments, fees, or financial arrangements directly with models; all financial matters must be handled exclusively through authorized Emerans managers.
Exchanging personal contact information with models, including but not limited to phone numbers, email addresses, social media accounts, or any other identifying details.
Using VIP Access for any commercial, promotional, or unauthorized purpose.

VIP users must also refrain from any conduct that may compromise the safety, privacy, or reputation of models, or that may interfere with the proper functioning of the platform.

7.3. Consequences of Violations

Any violation of VIP rules, misuse of VIP content, or attempt to bypass platform processes may result in:

Immediate account freezing.
Suspension of VIP Access.
Permanent account termination.
Loss of all paid fees without refund.
Additional penalties or legal action where applicable.

Emerans enforces these rules strictly to protect the safety of models, the integrity of the platform, and the confidentiality of VIP‑exclusive content.

8. PAYMENT, SERVICE DELIVERY, AND NO‑REFUND POLICY

8.1. Nature of the Service

Emerans provides a digital, access‑based service. All VIP purchases grant users access to restricted areas of the platform, including model profiles, personal information provided by models, and additional platform features. No physical goods are shipped or delivered. The service is considered fully delivered and fully performed the moment VIP Access is activated on the user’s account.

8.2. Immediate Delivery and Waiver of Withdrawal Rights

By completing a purchase, the user acknowledges, understands, and agrees that:

VIP Access is activated immediately after payment is successfully processed.
The service is fully performed at the moment access is granted.
Any applicable cooling‑off period, cancellation right, or withdrawal right is waived to the maximum extent permitted by law, including consumer protection laws in the user’s jurisdiction.
The user provides explicit consent to immediate execution of the service and acknowledges that this eliminates any right to withdraw or cancel after activation.

These conditions apply regardless of whether the user accesses or uses the service after purchase.

8.3. No‑Refund Policy

All payments made to Emerans are final, non‑refundable, and non‑reversible once VIP Access has been granted. Refunds are not issued under any circumstances, including but not limited to:

Change of mind or personal preference.
Misunderstanding of the nature of the service.
Dissatisfaction with content, features, or available models.
Failure to use the service after purchase.
Inability to access the service due to user‑side technical issues, device limitations, or connectivity problems.
Account suspension or termination resulting from violation of these Terms or VIP rules.

VIP Access fees apply for the specific duration indicated at the time of purchase. Once activated, the service is deemed fully rendered and non‑refundable.

8.4. User Responsibility

Users are solely responsible for:

Ensuring that the service meets their expectations and technical requirements.

Lack of understanding, incorrect assumptions, or failure to read these Terms does not constitute grounds for a refund, dispute, or chargeback.

8.5. Disputes, Claims, and Chargebacks

By purchasing VIP Access, the user agrees:

Not to initiate unjustified disputes, claims, or chargebacks with payment providers.
To contact Emerans support directly before escalating any billing‑related issue.
That initiating a chargeback after access has been granted may be considered abusive, misleading, or fraudulent under payment provider rules.

If a dispute or chargeback is filed, Emerans reserves the right to submit full evidence of service delivery, including:

Account activation logs.
Login timestamps, IP addresses, and device identifiers.
User activity logs demonstrating access to VIP content.
Proof of uninterrupted service availability.
Copies of these Terms and the user’s acceptance records.

Emerans may suspend or permanently terminate the user’s account during or after a dispute investigation, without refund.

8.6. Additional Enforcement Rights

Emerans may take further action in cases of abusive or fraudulent chargebacks, including:

Attempting to identify or contact models outside the platform.

Any misuse of model information may result in immediate account termination and legal action.

10.4. User Contributions and Advertising Rights

Users acknowledge that any User Contribution submitted to the platform may be used by Emerans for promotional and advertising purposes in accordance with the Advertising Policy. User content may be displayed on:

Affiliate platforms
Social media channels
Marketing campaigns
Articles, case studies, and business resources
Print materials, TV channels, and other media formats

Users grant Emerans a non‑exclusive, worldwide, royalty‑free license to use, reproduce, display, and distribute their User Contributions for promotional and operational purposes.

11. ABOUT EMERANS AGENCY

Emerans Group Ltd is a company legally registered in the Commonwealth of Dominica and operates its platform and administrative functions from Las Vegas, USA. Emerans provides an online platform that enables professional models to promote themselves for VIP events, private engagements, and other lawful professional opportunities. The platform allows clients to view model profiles, submit booking requests, and arrange paid engagements with models who meet Emerans’ internal standards and verification requirements.

Emerans facilitates communication, scheduling, and coordination between clients and models and may provide additional concierge or support services to ensure professionalism, punctuality, and lawful conduct. All services offered through the platform must comply with applicable laws in the jurisdiction where the services occur.

Clients may specify lawful preferences when submitting booking requests. Models retain full discretion to accept or decline any request. Emerans does not guarantee the availability, acceptance, or participation of any specific model.

Payments for VIP Access and related services may be processed through Emerans’ authorized merchant accounts, including third‑party processors operating under the name “TND”. Users acknowledge that payment receipts, billing descriptors, or shipping addresses associated with TND (including those displaying a Georgian address) are part of the payment processor’s internal configuration and do not alter the identity of the service provider, the nature of the service, or the contractual relationship with Emerans Group Ltd.

Emerans acts solely as a digital intermediary and does not employ models, represent them as agents, or assume liability for their independent actions outside the scope of the platform. All interactions must remain within the boundaries of these Terms and applicable law.

12. GEOGRAPHIC RESTRICTIONS

The Emerans platform may be accessed internationally; however, Emerans does not guarantee that its services are lawful, available, or appropriate in all jurisdictions.

Emerans may restrict access to specific geographic regions, jurisdictions, or individuals at its sole discretion. Restrictions may be imposed due to legal limitations, safety concerns, sanctions, regulatory requirements, behavioral issues, or any other factor that Emerans determines may pose a risk to models, clients, or the integrity of the platform.

All bookings, travel arrangements, meetings, and services facilitated through the platform must comply with the laws of the jurisdiction in which they occur. Users are solely responsible for ensuring that their requests and activities are lawful in their location and in the location where services are performed.

Emerans does not guarantee the availability of services in all regions and may suspend or prohibit access to the platform for users located in areas where the service cannot be legally or safely provided.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Emerans, its affiliates, contactors, agents, partners, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the use of the platform, VIP Access, or any services facilitated through the website.

Without limiting the generality of the foregoing, Emerans is not liable for:

Any loss, damage, or inconvenience resulting from account suspension, termination, or enforcement actions taken under these Terms.
Any unauthorized access to user accounts resulting from weak passwords, shared credentials, or user negligence.
Any delays, cancellations, or changes in model availability, travel arrangements, or scheduling.

Users acknowledge that Emerans acts solely as a digital intermediary and does not guarantee the performance, behavior, or availability of any model or third‑party service provider.

Users further agree that their sole remedy for dissatisfaction with the platform is to discontinue use of the service.

14. GOVERNING LAW AND JURISDICTION

These Terms, and any dispute, claim, or controversy arising out of or relating to the Emerans platform, VIP Access, payments, or any services provided through the website, shall be governed by and construed exclusively in accordance with the laws of the State of Nevada, without regard to its conflict‑of‑law principles.

Users agree that:

All disputes shall be brought exclusively before the state or federal courts located in Clark County, Nevada, USA.
Users irrevocably submit to the personal jurisdiction and venue of these courts.
Users waive any objection to jurisdiction or venue on the basis of inconvenience or conflict with their local laws.

Emerans Group Ltd remains the legal entity responsible for the platform. Payments for VIP Access may be processed through Emerans’ authorized merchant accounts, including third‑party processors operating under the name “TND”. Emerans does not represent or warrant that the platform or its services are lawful or appropriate in all jurisdictions. Users are solely responsible for ensuring that their use of the platform complies with the laws of their location. Access may be restricted where prohibited by law.

15. CONTACT

Users must contact Emerans customer support to address any questions, concerns, billing issues, or service‑related matters before initiating any dispute, claim, or chargeback with a payment provider. Failure to contact Emerans first may be considered a violation of these Terms and may result in account suspension or termination.

All communication must be submitted through the official contact channels listed on the Emerans website. Emerans does not guarantee responses to inquiries sent through unofficial or unverified channels.

Users are responsible for ensuring that their messages are complete, accurate, and sent from the email address associated with their account. Emerans may request additional verification to confirm user identity before responding to or processing any request.

16. DISCLAIMER OF WARRANTIES

The Emerans platform, all content, VIP Access, and all services provided through the website are offered on an “as‑is,” “as‑available,” and “with all faults” basis. To the fullest extent permitted by applicable law, Emerans disclaims all warranties, representations, and guarantees of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

Warranties of merchantability
Fitness for a particular purpose
Non‑infringement
Accuracy, completeness, reliability, or timeliness of any content
Availability, uptime, or uninterrupted operation of the platform
Security, error‑free performance, or freedom from viruses or harmful components

Emerans does not warrant or guarantee that:

The platform will operate without errors, delays, interruptions, or technical issues
Any defects or malfunctions will be detected or corrected
Any model will accept, respond to, or participate in a booking request
Any content, feature, or service will meet user expectations
The platform will be compatible with all devices, browsers, or operating systems
Communications or data transmitted through the platform will be secure or free from unauthorized access

Users acknowledge and agree that:

They access and use the platform at their own sole risk
They are solely responsible for ensuring that their devices, software, and internet connection are compatible with the platform
Emerans is not responsible for user‑side technical issues, including connectivity problems, device limitations, or configuration errors

No advice, information, or communication — whether oral or written — provided by Emerans shall create any warranty not expressly stated in these Terms.

17. INDEMNIFICATION

Users agree to indemnify, defend, and hold harmless Emerans Group Ltd, its affiliates, agents, partners, contractors, managers, successors, and service providers from and against any and all claims, demands, complaints, liabilities, damages, losses, fines, penalties, judgments, costs, or expenses (including reasonable attorneys’ fees and legal costs) arising out of or related to:

Any violation of these Terms or the Privacy Policy
Misuse of the platform, VIP Access, or any restricted content
Misuse, disclosure, or unauthorized distribution of model information, images, or materials
Illegal, harmful, abusive, fraudulent, or negligent conduct
User‑generated content, communications, or interactions on or through the platform
Disputes, conflicts, or interactions with models or third parties
Chargebacks, disputes, reversals, or fraudulent payment activity initiated by the user
Misrepresentation of identity, age, or eligibility
Breach of any applicable laws or regulations
Use of the platform in a manner that causes harm to Emerans, its models, or other users
Any claim that the user’s actions infringed the rights of a third party

Users further agree to indemnify Emerans for any costs associated with:

Investigating violations
Responding to law enforcement requests
Recovering funds lost due to chargebacks or fraudulent activity
Enforcing these Terms

Emerans reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification. In such cases, the user agrees to fully cooperate with Emerans’ defense strategy.

This indemnification obligation applies to all actions taken through the user’s account, whether authorized or unauthorized, and survives account suspension, termination, and discontinuation of platform use.

18. THIRD‑PARTY PAYMENT PROCESSORS

Payments for VIP Access and related services may be processed through authorized third‑party merchant accounts, including processors operating under the name “TND”. Emerans may use such processors to securely handle transactions, verify payments, and manage billing operations.

Users acknowledge and agree that:

Billing descriptors on bank statements or receipts may display “TND” instead of “Emerans”
A Georgian (Tbilisi) address may appear as part of the merchant information
These identifiers are determined solely by the payment processor’s internal configuration
Such descriptors do not alter the identity of the service provider
Such descriptors do not affect the validity, legality, or enforceability of the transaction
Such descriptors do not change the contractual relationship between the user and Emerans Group Ltd

Users further acknowledge that:

Emerans remains the sole provider of VIP Access and all platform services
TND acts only as a payment processor and not as a service provider
The appearance of unfamiliar merchant names or addresses does not constitute grounds for a dispute, refund, or chargeback

Initiating a dispute or chargeback on the basis of:

Unfamiliar billing descriptors
The presence of “TND”
The appearance of a Georgian address
Misunderstanding of the payment processor’s identity

is considered misuse of the payment system and a violation of these Terms. Emerans reserves the right to submit full evidence of service delivery and to take enforcement action, including account suspension, termination, and recovery of associated costs.

19. NO AGENCY OR EMPLOYMENT RELATIONSHIP

Nothing in these Terms, nor any use of the Emerans platform, VIP Access, or related services, shall be interpreted or construed to create:

An employment relationship
A partnership
A joint venture
An agency or representative relationship
A fiduciary or supervisory relationship
Any form of legal association that imposes obligations on Emerans beyond those expressly stated in these Terms

Models featured on the Emerans platform are independent individuals who choose, at their sole discretion, whether to accept, decline, or respond to client requests. Emerans does not employ models, does not act as their agent or representative, and does not control their independent actions, conduct, or decisions outside the platform.

Users acknowledge and agree that:

Models are not employees, contractors, agents, or representatives of Emerans
Emerans does not direct, supervise, or manage models’ personal behavior or activities outside the platform
Emerans is not responsible for any commitments, statements, promises, or representations made by models
Emerans is not liable for any actions, omissions, conduct, or interactions occurring outside the platform or beyond the scope of these Terms

All interactions between users and models are voluntary and must remain within the boundaries of these Terms and applicable law. Emerans’ role is limited to providing a digital platform that facilitates communication and coordination; it does not guarantee or control the conduct, availability, or performance of any model.

20. FORCE MAJEURE

Emerans shall not be liable for any failure, delay, interruption, suspension, or inability to perform any obligation under these Terms when such failure or delay is caused, directly or indirectly, by circumstances beyond its reasonable control (“Force Majeure Events”). Force Majeure Events include, but are not limited to:

Natural disasters, acts of God, or extreme weather conditions
War, conflict, civil unrest, or terrorism
Government actions, regulations, sanctions, or restrictions
Power outages or electrical failures
Internet, hosting, or telecommunications disruptions
Widespread technical failures or infrastructure outages
Labor disputes, strikes, or workforce shortages
Acts, omissions, or failures of third‑party service providers, including payment processors
Epidemics, pandemics, or public health emergencies
Any other event or circumstance beyond Emerans’ reasonable control

During any Force Majeure Event:

Platform functionality may be limited, delayed, or temporarily unavailable
Services may be suspended without notice
Emerans shall have no liability for any resulting loss, inconvenience, or disruption
No refunds, credits, or compensation shall be issued

Emerans may take any actions it deems necessary to protect the platform, including temporary suspension of services, modification of features, or restriction of access, without incurring liability.

21. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, void, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.

Any invalid or unenforceable provision shall be deemed modified, limited, or replaced (only to the extent necessary) to reflect as closely as possible the original intent of the provision while remaining valid and enforceable under applicable law.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other part of these Terms.

22. NO WAIVER

No failure, delay, or omission by Emerans to enforce any right, remedy, or provision of these Terms shall be interpreted as a waiver of such right or provision. Any waiver must be expressly stated in a written document signed by an authorized representative of Emerans to be valid.

A single or partial exercise of any right or remedy does not prevent the further exercise of that right or any other right. The rights and remedies provided in these Terms are cumulative and do not limit any rights or remedies available under applicable law.

23. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any additional policies or notices expressly incorporated by reference, constitute the entire agreement between the user and Emerans regarding access to and use of the platform, VIP Access, and all related services.

This agreement supersedes all prior or contemporaneous understandings, communications, representations, proposals, or agreements (whether written, oral, or implied) relating to the subject matter herein.

No user‑provided statements, expectations, assumptions, or interpretations shall modify or expand these Terms unless expressly agreed to in a written document signed by an authorized representative of Emerans.

24. SURVIVAL

The following provisions shall survive the termination, suspension, expiration, or discontinuation of a user’s account or access to the platform:
